• • "Platform" means the RECONCILIARE reconciliation automation software
• • "User," "You," or "Your" means any individual or entity accessing or using our Services
• • "Content" means all data, information, documents, and materials uploaded or processed through our Platform

2. Acceptance of Terms

By accessing or using our Services, you represent and warrant that:

• • You are at least 18 years of age
• • You have the legal capacity to enter into a binding contract
• • You are not prohibited by applicable law from using our Services

3. Services Description

Cognizione provides a robotics-powered reconciliation platform (RECONCILIARE) that automates financial reconciliation processes. Our Services include:

• • Bank, payment gateway, vendor, and customer reconciliation automation
• • Financial close and compliance management solutions
• • Consulting and process mapping for reconciliation lifecycle management

4. User Obligations

When using our Services, you agree to:

• • Provide accurate, current, and complete information
• • Maintain the confidentiality of your account credentials
• • Not use the Services for any unlawful or prohibited purpose
• • Not attempt to reverse-engineer, decompile, or copy the Platform

5. Intellectual Property

All intellectual property rights in the Services, including but not limited to the RECONCILIARE platform, the copyrighted EMMI framework, software code, algorithms, documentation, trademarks, and logos, are the exclusive property of Cognizione. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Cognizione shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you to Cognizione in the twelve months preceding the claim.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
